Terms of Service

These Terms of Service ("Terms") govern your use of the website at arxetech.com and any services provided by 1001060885 Ontario Inc. (trading as ArxeTech), a corporation registered in Ontario, Canada.
By accessing this website or engaging ArxeTech for services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Services
ArxeTech provides web design, web development, managed website hosting, and related software services to small businesses and trade industries. Services are scoped on a per-project basis and may include:
- Website design and development (custom and template-based)
- Managed hosting including server, database, SSL certificate, and backups
- Ongoing maintenance, updates, and support
- Custom software features, integrations, and automations
- SMS notification services for client-facing communications
All services are described in detail in project proposals or service agreements issued before work begins.
Eligibility
You must be at least 18 years of age and have authority to enter into a binding agreement on behalf of yourself or your organization to use our services. By engaging ArxeTech, you represent that you meet these requirements.
Proposals & Project Agreements
Project work begins only after a project proposal or written agreement is accepted and the applicable deposit is received. Proposals outline scope, deliverables, pricing, and timeline and are valid for 30 days from the date issued unless otherwise stated.
Scope changes requested after project kick-off may incur additional charges, which will be communicated and agreed to before additional work proceeds.
Payment Terms
- Deposits are due before project work begins and are non-refundable unless ArxeTech fails to deliver agreed services.
- Final balances are due upon project completion or as outlined in the project agreement.
- Monthly hosting fees are billed on a recurring basis and must remain current for hosted services to remain active.
- Hourly work (add-ons, custom development) is billed at the agreed rate and invoiced after work is completed.
- All prices are in Canadian dollars (CAD) unless otherwise stated.
- Overdue accounts may be subject to service suspension until outstanding balances are resolved.
Credit-Back Guarantee: Clients on qualifying managed hosting plans who maintain active hosting for 6 consecutive months will have their original deposit credited back toward future services. Specific terms are outlined in the project agreement.
Intellectual Property
Upon receipt of full payment for a project, ownership of the custom design and content created for you transfers to you. ArxeTech retains:
- The right to display completed work in our portfolio (unless you request otherwise in writing).
- Ownership of any proprietary tools, code libraries, frameworks, or platform infrastructure used to build or host your website.
Content you provide (logos, images, copy) remains your property. You represent that you have the right to use and share any content you submit to us.
Client Responsibilities
To keep projects on track, clients agree to:
- Provide timely feedback, approvals, and required content.
- Ensure all content submitted (text, images, files) is legally owned or licensed for use.
- Maintain accurate account and contact information.
- Keep billing information current for recurring services.
Delays caused by a client's failure to provide materials or approvals may result in revised timelines or additional charges.
Acceptable Use
You agree not to use our website or services to:
- Violate any applicable law or regulation.
- Transmit spam, malware, or harmful content.
- Infringe on the intellectual property rights of others.
- Engage in any activity that disrupts or interferes with our services or infrastructure.
- Attempt to gain unauthorized access to any systems or data.
ArxeTech reserves the right to refuse or terminate service to anyone violating these terms.
Hosting & Uptime
ArxeTech provides managed hosting services on a best-efforts basis. While we strive for high availability, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages, or factors outside our control may occasionally result in downtime.
ArxeTech is not liable for any losses caused by hosting interruptions unless caused by our direct negligence.
Limitation of Liability
To the fullest extent permitted by applicable law, ArxeTech (1001060885 Ontario Inc.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, arising out of or related to your use of our services.
Our total liability for any claim arising out of our services shall not exceed the total amount paid by you to ArxeTech in the 12 months preceding the claim.
Termination
Either party may terminate a project or service agreement with written notice. If you cancel mid-project, any work completed to date will be invoiced and payable. Deposits are non-refundable.
ArxeTech may terminate or suspend services immediately without notice for violations of these Terms or for non-payment of outstanding invoices.
Upon termination of hosted services, we will provide reasonable notice and a window to export your website files and data where feasible.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario.
Changes to These Terms
We may update these Terms from time to time. The "Effective" date at the top of this page reflects the date of the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
